If you are using Clopad on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We may modify, improve, suspend, or discontinue features at any time.

3. Account Registration

To access certain features, you may need to create an account.

• Notify us immediately of unauthorized access
• Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

• Use the platform for unlawful purposes
• Upload malicious code or harmful content
• Attempt unauthorized access to systems or accounts
• Reverse engineer or copy the platform
• Interfere with platform security or performance
• Use Clopad to transmit spam or abusive material

We reserve the right to investigate and remove content or accounts violating these Terms.

5. Subscription & Payments

Certain features may require a paid subscription.

• Fees are billed based on your selected plan
• Payments are non-refundable unless otherwise stated
• Pricing may change with prior notice
• Failure to pay may result in suspension or termination of services

Third-party payment processors may handle billing securely.

6. Intellectual Property

All platform content, branding, software, designs, logos, and materials are owned by Clopad or its licensors and protected by applicable intellectual property laws.

You retain ownership of content you upload to the platform.

By uploading content, you grant Clopad a limited license to host, process, and display such content solely for providing the services.

7. Data & Privacy

Your use of Clopad is also governed by our Privacy Policy.

We implement commercially reasonable security measures to protect your data; however, no online service can guarantee absolute security.

8. Third-Party Integrations

Clopad may integrate with third-party services such as Microsoft Teams, Google Workspace, Slack, or other platforms.

Your use of third-party services is subject to their own terms and privacy policies.

We are not responsible for third-party platforms or services.

9. Service Availability

We aim to maintain reliable platform availability but do not guarantee uninterrupted or error-free operation.

Maintenance, updates, outages, or external issues may occasionally affect access.

10. Termination

You may stop using Clopad at any time.

We may suspend or terminate access if these Terms are violated, payment obligations are not met, or if required by law or security concerns.

Upon termination, access to the platform and related data may be removed in accordance with our retention policies.

11. Limitation of Liability

To the maximum extent permitted by law, Clopad shall not be liable for indirect or consequential damages, loss of profits or business opportunities, data loss or service interruption, or third-party actions or integrations.

Our total liability shall not exceed the amount paid by you to Clopad during the previous 12 months.

12. Disclaimer

Clopad is provided on an "as is" and "as available" basis without warranties of any kind.

We do not guarantee that the platform will meet all requirements or operate without interruptions or errors.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Clopad operates, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time.

Continued use of the platform after updates constitutes acceptance of the revised Terms.
